Terms of Service for Fadi Projects

We grant you a limited, non-exclusive, non-transferable license to browse and view the Site for personal, non-commercial purposes only.

• You may not copy, reproduce, modify, distribute, transmit, display, perform, publish, license, create derivative works, or transfer any content from the Site without explicit written permission from Fadi Projects.
• You may not use the Site or its content for any commercial purpose, including reselling, redistributing code, designs, or portfolio work without authorization.
• You agree not to engage in any activity that could damage, disable, interfere with, or impair the Site's operation, including hacking, injecting malicious code, or attempting unauthorized access.
• You agree not to use automated tools (bots, scrapers, crawlers) to extract data from the Site without permission.

The Site displays projects and work samples created by Fadi Projects ("Portfolio"). These projects are owned by or licensed to the Site Owner and demonstrate the quality and range of services available.

• You may view portfolio items for personal reference and to evaluate whether you wish to request similar services.
• You may not use, copy, or recreate any portfolio designs, layouts, or code as your own without permission.
• Some portfolio items may be work created for previous clients. These are displayed with permission and may be subject to confidentiality agreements.

Fadi Projects offers custom web development, frontend design, and related digital services including website design, coding, UI/UX implementation, and website maintenance.

• Submitting a contact form, email, or social media message is an inquiry only and does not create a binding contract, obligation, or client relationship.
• A formal agreement will be created only when both parties agree in writing on the project scope, deliverables, timeline, price, and payment terms.
• Quotes provided are estimates and may change if project scope, requirements, or timeline change during development.

Each project is governed by a separate written agreement (email confirmation, proposal, or contract) that outlines specific terms.

• The project scope defines what will be delivered, the timeline for completion, and any assumptions or limitations.
• Scope changes or additional requests beyond the initial agreement may incur additional fees and may delay the project timeline.
• You are responsible for providing clear project requirements, content, assets (images, text, logos), and feedback on time to avoid delays.
• If you do not provide necessary materials or feedback within agreed timeframes, Fadi Projects may pause work until materials are received, and deadlines may be extended.

Payment terms are defined in the project agreement. Payment is typically required before or during the development process.

• Payment Method: Payments are made via PayPal or another method agreed upon in writing. You are responsible for any fees, currency conversion charges, or payment processing costs charged by PayPal or your financial institution.
• Payment Schedule: Many projects require a deposit (typically 25-50% of the total) to begin work, with the balance due upon delivery or in installments as agreed.
• Invoice and Due Dates: Invoices specify the amount due and the due date. Late payments may result in project delays or suspension of services.
• Non-Payment: If payment is not received within 14 days of the due date, Fadi Projects may suspend or terminate services and withhold delivery of completed work.

Because web development services are custom, complex, and time-sensitive, refund policy is as follows:

• Before Work Begins: If you cancel a project before substantial work has started, a partial or full refund may be available (typically 50-100% of the deposit, minus any administrative fees).
• After Work Begins: Once significant development work has started, deposits are non-refundable. You will owe payment for work completed to date, calculated based on the hourly rate or percentage of completion.
• Upon Delivery: Once a project is delivered and accepted, refunds are not available.
• Special Circumstances: Refunds may be considered only in exceptional cases (e.g., Fadi Projects cannot complete the project due to unforeseen circumstances). Each case is evaluated individually.
• Cancellation: If you cancel after work has begun, you remain liable for payment for all work completed up to that point.

Intellectual property (code, designs, graphics, concepts, documentation) is protected by copyright and other laws.

• Site Content: All content on the Site, including text, logos, images, designs, and code samples in the portfolio, remains the exclusive property of Fadi Projects or the respective rights holders.
• Custom Client Work: Upon full payment, ownership of or license to the final deliverables (website code, design files, etc.) transfers to you. However, Fadi Projects retains the right to display non-confidential work in the portfolio and use it as a reference unless you request otherwise in writing.
• Reusable Components: Generic components, libraries, frameworks, or code snippets used in your project that were not created specifically for you remain the property of Fadi Projects or the respective third-party owners, and you may use them only as part of your delivered website.
• Your Content: You retain ownership of content you provide (text, images, logos, videos). By providing this content, you grant Fadi Projects the right to use it to create your website and display it as part of the portfolio (unless you request confidentiality).
• Copyrights and Trademarks: You are responsible for ensuring that all content and assets you provide do not infringe on third-party copyrights, trademarks, or intellectual property rights.

You are fully responsible for all information, text, images, files, and other materials you submit through contact forms, emails, social media, or during project development.

• You agree not to send unlawful, threatening, abusive, defamatory, obscene, or otherwise inappropriate content.
• You agree not to submit confidential, proprietary, or sensitive information without clear written indication of confidentiality and prior agreement.
• You confirm that you have the legal right to share any materials, content, images, or assets you provide and that they do not infringe on third-party rights.
• Fadi Projects may use submitted information to fulfill your project request and may retain records for support and dispute resolution purposes.

Communication between you and Fadi Projects may occur through email, contact forms, Discord, Instagram, or other channels you choose.

• Email to Info@fadi-projects.com is the primary method for official project communications and agreement confirmations.
• Communication via Discord or Instagram is supplementary. Important project details should be confirmed in writing via email to ensure clarity and create a documented record.
• Response times are typically within 24-48 hours during business days. We may not respond to messages outside business hours or on weekends.

The Site and its content are provided "as is" and "as available" without any warranty, representation, or guarantee of any kind, whether express, implied, statutory, or otherwise.

• No warranty is given that the Site will be error-free, virus-free, uninterrupted, or continuously available.
• We do not warrant that information on the Site is accurate, complete, or current.
• Information provided on the Site about web development, design, technologies, or best practices is for general guidance only and should not be relied upon as professional, legal, or technical advice.
• We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, Fadi Projects and the Site Owner shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, or business opportunity, arising from or related to your use of the Site, access to services, or reliance on any information provided.

• This limitation applies even if we have been advised of the possibility of such damages.
• Where liability cannot be completely excluded, it is limited to the total amount you paid for services in the three (3) months immediately before the event giving rise to the claim, or if no payment was made, to a maximum of $100 USD.

You agree to indemnify, defend, and hold harmless Fadi Projects, the Site Owner, and their respective agents, employees, and successors from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Site in violation of these Terms.
• Your infringement of any third-party intellectual property rights through content or materials you provide.
• Any unlawful or harmful activities conducted through your use of the Site.

The Site may include links to or rely on third-party services such as hosting providers, email services, analytics platforms (Google Analytics), payment processors (PayPal), and social media platforms (Discord, Instagram).

• These third-party services have their own terms, policies, and practices. Fadi Projects is not responsible for their operation, accuracy, or compliance with laws.
• We do not endorse or guarantee the quality, legality, or safety of third-party services or content.
• We are not liable for any issues, damages, or losses caused by third-party services, including PayPal payment processing failures or data breaches.
• External links are provided for convenience only. We are not responsible for keeping links current or for the content of external websites.

You agree not to engage in any of the following activities:

• Accessing or attempting to access the Site through unauthorized means or hacking.
• Transmitting viruses, malware, or harmful code.
• Reproducing, copying, or distributing Site content without permission.
• Collecting or scraping data from the Site using automated tools.
• Posting spam, advertisements, or promotional content in contact forms or messages.
• Harassing, threatening, or abusing Fadi Projects or other users.
• Reverse-engineering, decompiling, or attempting to discover the source code or underlying technology of the Site.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall continue in full force and effect.

These Terms of Service, together with any separate project agreement, quote, or written communication between you and Fadi Projects, constitute the entire agreement regarding your use of the Site and services. These Terms supersede any prior agreements or understandings, whether written or oral.

Fadi Projects reserves the right to modify these Terms of Service at any time. When significant changes are made, the "Effective date" at the top of this page will be updated.

• Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
• We encourage you to review these Terms periodically to stay informed of any updates.

These Terms of Service are governed by and construed in accordance with the laws of Egypt, without regard to conflict of law principles.

• Jurisdiction: You agree that any legal proceedings or disputes shall be subject to the exclusive jurisdiction of the courts in Port Said, Egypt.
